Capital Markets and Securities’ law is one of MVKini’s core practice areas. The firm’s experience covers a wide range of securities’ and debt offerings in domestic and international markets including Initial Public Offering (IPO), American Depository Receipts (ADR) and Global Depository Receipts (GDR).
The firm acts as legal advisor to various public sector and statutory bodies as well as commercial enterprises in relation to various Capital Markets and Securities laws related activities.
Services include a wide range of activities involving coordination with merchant bankers, debenture trustees and other intermediaries, legal documentation and related procedures and drafting of transaction-related agreements. The firm also represents clients before various statutory authorities, carries out due diligence, ensures compliances and disclosures to be made in offer documents in accordance with the rules and regulations of the Securities and Exchange board of India and the Reserve Bank of India.

Advised the National Highways Authority of India (NHAI) on its maiden Public Debt Offer of Rs.10,000 crores (US$1.85 billion);
Advised the Rural Electrification Corporation on the Public Debt Offers for 2011-12 of Rs.3,000 crores (US$482.5 million), for 2012-13 of Rs.2,700 crores (US$434.3 million) and for 2013-14 of Rs.3,500 crores (US$563 milion)
Advised the Jawaharlal Nehru Port Trust on its Public Debt Offer for 2012-13 of Rs.2,000 crores (US$321.7 million)
Advised the Power Finance Corporation on its Public Debt Offer of Rs.5,000 crores (US$804.2 million) for 2013-14
Acted as legal counsel for the private placement by NHAI and the Rural Electrification Corporation of capital gains 54EC bonds;
Acted as legal counsel for the private placement by the Rural Electrification Corporation of Subordinated Tier II bonds and Institutional bonds issued as debentures;
Advised the Rural Electrification Corporation on bonds issued on the Swiss Stock Exchange valued at CHF200 million (US$211 million);
Advised Syndicate Bank on SEBI compliance for its Rs.244 crores (US$45 million) private placement of Innovative Perpetual Debt Issue (series I);
Advised Centurion Bank on forward trade agreements, currency agreements, and derivate agreements based on the ISDA master agreement for compliance with FEMA regulation and Reserve Bank of India guidelines.
Vidisha obtained her LL.B. degree from the Faculty of Laws at Delhi University. She also holds a degree in Journalism Honours from Delhi University. She has an LL.M. in banking and finance law from the University College London.
Having worked with India’s capital markets regulator, the Securities and Exchange Board of India, she has extensive experience working in law firms as well as in the government. At the Board she was involved in policy formulation and regulation drafting and helped provide informal guidance on various delisting, buyback and takeover issues to listed companies.
Vidisha focuses on capital markets issues as well as cross-border investments into India. She advises on matters relating to RBI/FEMA aspects of cross-border transactions as well as domestic listed and unlisted company issues.
Her capital markets practice covers all aspects of RBI and SEBI laws including takeovers, public issues, private placements, alternate investment funds, eligible investor categories (FIIs, QFIs, NRIs) etc. Her expertise also extends to private equity deals, joint ventures in the corporate and commercial sector.
Vidisha has advised on various aspects of foreign investments in India by institutional and non-institutional investors on debt instruments of the Indian public sector undertakings. She has also advised on various debt issues of public sector undertakings and statutory bodies.
